Terms of Service
Effective date: July 30, 2026
These Terms of Service ("Terms") govern access to and use of Pulsus Machinae, the computerized maintenance management system ("CMMS") offered as a subscription service by Machina Dominus Systems ("Provider", "we", "us"). By creating an account, subscribing on behalf of a company ("Customer"), or accessing Pulsus Machinae, you agree to these Terms.
1. Authorized use only
Pulsus Machinae is a business application provided for use by a subscribing Customer's authorized personnel, approved vendors, and contractors. You may use Pulsus Machinae only for legitimate maintenance, facility, and operational purposes in the scope of your role. You may not use Pulsus Machinae for unlawful or unauthorized purposes, or attempt to access data belonging to another organization.
2. Subscriptions and billing
- Pricing: the service is billed per seat, per month. Seats cover administrator, manager, technician, and viewer accounts. Requester-only accounts and public QR-code work-request submissions are free and do not consume seats.
- Payment: subscription payments are processed by Stripe. By subscribing, you authorize recurring monthly charges to your payment method until you cancel.
- Seat changes: the Customer's administrator may add or remove seats at any time through the billing portal; charges adjust accordingly.
- Non-payment: if payment fails, we may suspend access to the Customer's account after a reasonable grace period until payment is brought current.
- Cancellation: the Customer may cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
- Price changes: we may change subscription pricing with at least 30 days' notice; changes apply from the Customer's next billing period after the notice period.
3. Accounts and credentials
- You are responsible for keeping your password confidential and for all activity under your account.
- You will notify your administrator promptly if you suspect unauthorized access.
- User accounts within a Customer's subscription are managed by that Customer's administrators, who may disable or remove accounts at their discretion.
- We may suspend accounts that violate these Terms or threaten the security or integrity of the service.
4. Acceptable use
You agree not to:
- Upload content that is unlawful, defamatory, harassing, or infringes another's rights.
- Attempt to probe, scan, or breach security features of the application or infrastructure.
- Interfere with or disrupt the service (for example, by overloading it or submitting malicious input).
- Share your account credentials with anyone else.
- Resell, sublicense, or provide the service to third parties outside your organization without our written permission.
- Use the service in a way that would violate any law or regulation applicable to you.
5. Notifications
Pulsus Machinae offers optional push notifications for work order and equipment alerts. Notifications are sent only to devices where you have enabled them and granted permission through your browser or operating system.
- Content: transactional notifications about work orders, including the work order number, a short description, and a link to open it in Pulsus Machinae.
- Frequency: varies with maintenance activity. CRITICAL-priority alerts may be delivered as high-priority notifications.
- Opt-out: disable notifications from your Profile page on that device, or revoke the permission in your browser or device settings, at any time.
- No sharing: your notification subscriptions are used exclusively to deliver Pulsus Machinae alerts and are not shared with third parties or affiliates for marketing or promotional purposes.
6. Content and ownership
All work orders, assets, and operational records entered into Pulsus Machinae belong to the subscribing Customer. We process that data only to provide the service, as described in our Privacy Policy. The Pulsus Machinae application itself, including its code and design, is proprietary to the Provider and may not be copied or redistributed without permission. On termination of a subscription, the Customer may request an export of its data within 30 days, after which we may delete it.
7. Privacy
Use of Pulsus Machinae is also governed by our Privacy Policy, which describes what information we collect, how we use it, and the choices you have.
8. Availability
We make reasonable efforts to keep Pulsus Machinae available, but we do not guarantee uninterrupted access. The service may be unavailable during maintenance windows, upgrades, or outages affecting our hosting provider, database, or third-party services (email, push, payments, AI). We are not liable for losses arising from service unavailability.
9. Disclaimer of warranties
Pulsus Machinae is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or that defects will be corrected. AI-generated content (diagnostics, document summaries, translations) is assistive only and must be verified by qualified personnel before acting on it.
10. Limitation of liability
To the fullest extent permitted by law, the Provider is not liable for any indirect, incidental, consequential, special, or exemplary damages arising from your use of Pulsus Machinae, including (without limitation) loss of profits, loss of data, equipment damage, or production downtime, even if advised of the possibility of such damages. Our total liability for any claim is limited to the subscription fees paid by the Customer in the 12 months preceding the claim.
11. Changes
We may update these Terms from time to time. The "Effective date" at the top of this page reflects the latest revision. Continued use of Pulsus Machinae after an update constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or your use of Pulsus Machinae will be resolved in the state or federal courts located in Texas.
